  2. Sandy Eggo, referred to as SELLER, and Chickie Bansai, referred to
  3. as PURCHASER, agree:

  5. PURCHASER shall purchase from SELLER 100 shares of Common stock, 
  6. issued by International Amalgamated, in consideration of: 
  7.  
  8.  
  9. A promissory note in the amount of $ 500.00 ( five hundred &
  10. no/100 dollars) secured by a pledge of the stock. 
  11.  
  12.  
  13.  
  14. The sum of $ 10000 ( ten thousand & no/100 dollars.) 
  15.  
  16.  
  17. The shares purchased are not registered with the United States
  18. Securities and Exchange Commission, nor the Securities Commission
  19. of any state. 
  20.  
  21. The PURCHASER represents that it is qualified under the relevant
  22. rules and regulations of the United States Securities and Exchange
  23. Commission and the Securities Commission of any state which may
  24. have jurisdiction to purchase these shares. 
  25.  
  26. The PURCHASER further represents that it is not purchasing these
  27. shares with an intention of resale, nor will it take any actions
  28. that may result in it being considered an underwriter of the
  29. shares. 
  30.  
  31. Prior to any transfer of these shares, the PURCHASER shall provide
  32. to the issuer of the stock a legal opinion, in a form acceptable
  33. to the counsel for the issuer, that the transfer will not result
  34. in the loss of the exemptions from registration of the securities
  35. then claimed by issuer. 
  36.  
  37. The PURCHASER further represents that it has had adequate
  38. opportunity to obtain any information relevant to the decision to
  39. purchase, and has also had adequate opportunity to consult with
  40. advisors of their choice.

  43. The PURCHASER agrees that prior to delivery of the stock to
  44. execute the shareholders agreement dated March 5, 1995.
